Distance Sales Agreement

This Distance Sales Agreement is concluded electronically between the parties identified below, in accordance with Turkish Consumer Protection Law no. 6502 and the Regulation on Distance Contracts. By confirming the payment step, the purchaser declares that they have read and accepted this agreement in full.

Buyer (Customer): the natural or legal person who purchases the service and whose details are recorded in the subscription.
2. Subject of the agreement
This agreement governs the provision of the HMS Spa cloud-based business management software subscription selected by the Buyer on hmsspa.com, together with the rights and obligations of both parties.
3. Essential characteristics and price of the service
HMS Spa is a cloud-based software service used through a web browser, covering customer tracking, package service sales, income and expense management, stock and staff tracking. No physical product is delivered.
- Current plan contents and prices are published on the pricing page.
- Prices exclude VAT; VAT is calculated separately at the payment step.
- The subscription period is monthly or yearly depending on the selected plan.
- Campaigns and discounts apply for the period in which they are announced.
4. Payment and invoicing
Payments can be made online by credit/debit card or by bank transfer. Card payments are collected through the infrastructure of a licensed payment institution with 3D Secure verification; card details are never seen or stored by the Seller. An e-invoice is issued for every payment within the statutory period. For monthly subscriptions the fee is charged at the beginning of each period.
5. Performance of the service
Following payment confirmation the Buyer's account is activated within one business day at the latest and the login details are sent by e-mail. The service is provided at https://app.hmsspa.com. As a digital service, no physical delivery takes place.
6. Right of withdrawal
Pursuant to Article 15 of the Regulation on Distance Contracts, there is no right of withdrawal for services performed instantly in electronic form. Nevertheless, HMS Spa voluntarily grants a refund option; the conditions are set out on the Cancellation and Refund Policy page. The service can also be tried free of charge for 14 days before purchase.
7. Obligations of the parties
- The Seller shall provide the service in line with the agreement and the announced features.
- The Seller takes the necessary technical and administrative measures for data security and backs up data daily.
- The Buyer is responsible for account and password security and for the actions of its own users.
- The Buyer acts as data controller for the customer data it enters into the system and shall comply with applicable legislation.
- The Seller may suspend the subscription if the service is used for unlawful purposes.
8. Term and termination
The agreement is valid for the selected subscription period and renews on the same terms unless terminated by either party. Monthly subscriptions carry no commitment; the Buyer may cancel at any time with effect from the end of the period. The Buyer is notified by e-mail before renewal. Upon termination the Buyer's data is retained for 30 days and handed over on request.
9. Protection of personal data
Personal data is processed in accordance with Turkish Personal Data Protection Law no. 6698. Details are provided in the Personal Data Protection Notice (KVKK).
10. Dispute resolution
For disputes arising from this agreement, the Consumer Arbitration Committees and Consumer Courts at the place of residence of the Buyer or the Seller are competent, within the monetary limits announced by the Turkish Ministry of Trade. For Buyers acting as merchants, the courts and enforcement offices of Denizli, Türkiye have jurisdiction.
